inventXYZ Summer Program Terms and Conditions
Welcome to inventXYZ. Please read these Terms and Conditions (“Terms”), which are a legal contract between you (“you” and “your”) and inventXYZ regarding your use of inventXYZ’s Summer Program website (https://summer.inventxyz.com/) and Course Materials (herein defined and collectively with the Summer Program website, the “Services”). By using the Services, you acknowledge that you have read, understood, and agree to be bound by the following Terms.
If you are a parent or guardian and you provide consent for your child to use the Services, you agree to be bound by these Terms in respect of such child’s use of the Services.
inventXYZ reserves the right to modify these Terms at any time without advance notice, with any changes effective immediately upon posting on this page. If we make any material change, we will notify you via email.
In order to use certain features of the Services, you must register for an account. You may be asked to provide a password in connection with your account. You are solely responsible for maintaining the confidentiality of your account and password, and you agree to accept responsibility for all activities that occur under your account or password. You agree that the information you provide to inventXYZ, whether at registration or at any other time, will be true, accurate, current, and complete. You also agree that you will ensure that this information is kept accurate and up-to-date at all times. If you have reason to believe that your account is no longer secure (e.g., in the event of a loss, theft, or unauthorized disclosure or use of your account ID or password), then you agree to immediately notify inventXYZ. You may be liable for the losses incurred by inventXYZ or others due to any unauthorized use of your account.
Persons under the age of 13 are not eligible to use the Services. By using the services, you represent that (i) you are a US resident at least 18 years of age, or (ii) you are not a US resident, and are of legal age of consent to open an account under the laws of your country of residence, or (iii) your use of the Services has been approved by your parent or legal guardian if you are under the age of 18.
Right of Publicity
As a condition of your use of the Services, you understand that photos, videos, images, audio and testimonials may be taken of you during your use of the Services and you authorize inventXYZ to use this content in promotional materials, marketing collateral, and online media. These images, testimonials, photos, videos, and audio may be shared and used by corporate partners, the media, or other organizations who work with inventXYZ. InventXYZ, its owners, agents, partners, facility providers, and employees will not be held liable for damages and injuries associated with said publishing, including any and all claims based on negligence. You further agree that all images, testimonials, photos, video, and audio taken during your use of the Services are the sole and exclusive property of inventXYZ.
You agree to pay all applicable fees when due. The processing of your payment information is done by a third-party payment processor. Once your payment transaction is completed, a confirmation page will be displayed, and you will receive a confirmation email with your name, order number, and the payment amount. Please retain this email for your records as this information will be required if you seek a refund from inventXYZ, as described below.
To receive a refund with respect to your enrollment in a course, you must withdraw from the Service and request a refund within five days of the first day of the Services. Refunds will be in the amount of fees paid less the cost of any course materials sent to you. Refunds will be credited to the payment account used for the purchase and may take up to two billing cycles to process.
The Services may be integrated with third-party services or include hyperlinks to websites maintained or controlled by third parties. inventXYZ is not responsible for and does not routinely screen, approve, review or endorse the contents of or use of any of the products or services that may be offered by such third parties. If you decide to access any third-party services or linked third-party websites, you do so at your own risk.
As part of the Services, you may (a) post and/or publish notes, questions, comments, and other communications, (b) post, create, or modify computer code, and (c) upload videos, or other materials to demonstrate completion assigned projects (collectively, “Student Submissions”). You understand that whether or not such Student Submissions are published, inventXYZ does not guarantee any confidentiality with respect to any Student Submissions. You acknowledge that you are solely responsible for the Student Submissions, and the consequences of your posting, creating, or publishing such Student Submissions.
inventXYZ does not endorse any Student Submissions or any opinion, recommendation or advice expressed therein. inventXYZ does not have any obligation to monitor any Student Submissions or any other user communications. However, inventXYZ reserves the right to review Student Submissions and to exercise its sole discretion to edit or delete, in whole or in part, any Student Submissions at any time and for any reason. Without limiting the foregoing, upon receiving notice from a user or a content owner that a Student Submission allegedly does not conform to these Terms, inventXYZ may investigate the allegation and determine in its sole discretion whether to delete the Student Submission, which it reserves the right to do at any time and without notice.
Right to Use inventXYZ Content
The compilation, information, computer code (including source code or object code), software, services, content, educational videos and exercises, and all other elements of the Services (the "Course Materials") are protected by United States and international copyright, patent, and trademark laws, international conventions, and other applicable laws governing intellectual property and proprietary rights. All Course Materials, and all trademarks, service marks, and trade names, contained on or available through the Services are owned by or licensed to inventXYZ, and inventXYZ reserves all rights therein and thereto not expressly granted by these Terms.
inventXYZ grants to you a non-exclusive, non-transferable right to access and use the Course Materials solely for your personal, non-commercial purposes in connection with the Services. You may not distribute, sell, lease, modify, create derivative works of, or otherwise provide access to the Course Materials to any third party. You also agree not to remove, disable, circumvent or otherwise create or implement any workaround to any copy protection, rights management, technical limitations or security features in or protecting the Course Materials.
You agree that you are responsible for your conduct while using the Services and for the content of your Student Submissions. You agree that your use of the Service will comply with these Terms, and all applicable local, state, national and international laws, rules and regulations, including copyright laws, any laws regarding the transmission of technical data exported from your country of residence, and all United States export control laws. Furthermore, you agree to use the Service only for your personal, non-commercial use.
The following is strictly prohibited:
- except as expressly permitted under these Terms, rent, lease, loan, sell, resell, sublicense, distribute or otherwise transfer the licenses for any Services Materials;
- delete the copyright or other proprietary rights notices on the Services or on any Course Materials;
- assert, or authorize, assist, or encourage any third party to assert, against inventXYZ or any of its affiliates or licensors any patent infringement or other intellectual property infringement claim regarding any Course Materials or Student Submissions you have used, submitted, or otherwise made available on or through the Services;
- use the Service for any illegal purpose, or in violation of any local, state, national, or international law, including, without limitation, laws governing intellectual property and other proprietary rights, and data protection and privacy;
- remove, circumvent, disable, damage or otherwise interfere with security-related features of the Services, Course Materials, or Student Submissions, features that prevent or restrict use or copying of any content accessible through the Services, or features that enforce limitations on the use of the Services, Course Materials, or Student Submissions;
- intentionally interfere with or damage operation of the Services or any user's enjoyment of it, by any means, including without limitation by participation in any denial-of-service type attacks or by uploading or otherwise disseminating viruses, adware, spyware, malware, worms, trojan horses, time bombs, corrupted files, or other malicious code or software that may damage the operation of another’s computer or property;
- modify, adapt, reverse engineer, dissemble, translate or create derivative works based upon the Service or any part thereof, except and only to the extent expressly permitted by inventXYZ herein or to the extent the foregoing restriction is expressly prohibited by applicable law;
- advertising or any form of commercial solicitation; or
- use of Student Submissions that
- defame, harass or threaten others;
- discuss illegal activities with the intent to commit them;
- infringes another's intellectual property, including, but not limited to, copyrights or trademarks;
- are profane, pornographic, obscene, indecent or unlawful;
- that contain intentionally inaccurate information or that is posted with the intent of misleading others;
Digital Millennium Copyright Act
Copyright owners who believe their material has been infringed through the Service should contact inventXYZ’s designated copyright agent at email@example.com or at inventXYZ, 3110 Barrons Way, Sugar Land, TX 77479.
Notification should include:
- Identification of the copyrighted work, or, in the case of multiple works at the same location, a representative list of such works at that site.
- Identification of the material that is claimed to be infringing or to be the subject of infringing activity. You must include sufficient information for us to locate the material (e.g., URL, IP address, computer name).
- Information for us to be able to contact the complaining party (e.g., email address, phone number).
- A statement that the complaining party believes that the use of the material has not been authorized by the copyright owner or an authorized agent.
- A statement that the information in the notification is accurate and that the complaining party is authorized to act on behalf of the copyright owner.
Miscellaneous Legal Terms
Term and Termination
These Terms shall remain in full force and effect for the duration of your use of the Services, unless your registration in the Service is terminated as provided in these Terms. inventXYZ, in its sole discretion, for any or no reason, and without penalty, may suspend or terminate any account (or any part thereof) you may have with inventXYZ or your use of the Services and remove and discard all or any part of your account and Student Submissions at any time. inventXYZ may also in its sole discretion and at any time discontinue providing access to the Services, or any part thereof, with or without notice. You agree that any termination of your access to the Services or any account you may have, or portion thereof, may be affected without prior notice, and you agree that inventXYZ will not be liable to you or any third party for any such termination. Any suspected fraudulent, abusive or illegal activity may be referred to appropriate law enforcement authorities. These remedies are in addition to any other remedies inventXYZ may have at law or in equity. As discussed herein, inventXYZ does not permit copyright, trademarks, or other intellectual property infringing activities on the Services, and will terminate access to the Services, and remove all Student Submissions or other content submitted, by any who are found to be repeat infringers.
Representations and Warranties.
You warrant, represent and agree that you will not provide any Student Submissions or otherwise use the Services in a manner that (i) infringes, violates or misappropriates another's intellectual property rights, rights of publicity or privacy, or other rights; (ii) violates any international, federal, state or local law, statute, ordinance or regulation or which would render inventXYZ in violation of any applicable laws or regulations, including without limitation, Applicable Privacy Laws (collectively, "Applicable Law"); (iii) is harmful, fraudulent, threatening, abusive, harassing, tortuous, defamatory, vulgar, obscene, libelous, or otherwise objectionable; or (iv) jeopardizes the security of your account or the Services in any way, such as allowing someone else access to your account or password or submitting Student Submissions that contains viruses. Additionally, you represent, warrant and agree that (i) you have the authority to enter into these Terms; (ii) you possess all rights necessary to provide your Student Submissions and grant inventXYZ the rights in these Terms; and (iii) you will comply with Applicable Laws in connection with your use of the Service.
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND (EXPRESS, IMPLIED OR OTHERWISE), INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPORSE, AND NON-INFRINGEMENT, EXCEPT INSOFAR AS ANY SUCH IMPLIED WARRANTY MAY NOT BE DISCLAIMED UNDER APPLICABLE LAW.
inventXYZ DOES NOT WARRANT THAT THE WEBSITE OR ANY DATA, STUDENT SUBMISSIONS, FUNCTIONS, OR ANY OTHER INFORMATION OFFERED ON OR THROUGH THE WEBSITE WILL BE UNINTERRUPTED, OR FREE OF ERRORS, VIRUSES OR OTHER HARMFUL COMPONENTS, AND DOES NOT WARRANT THAT ANY OF THE FOREGOING WILL BE CORRECTED. inventXYZ MAKES NO REPRESENTATION OR WARRANTY THAT (1) THE SERVICES WILL (A) MEET YOUR REQUIREMENTS OR EXPECTATIONS, OR BE TO YOUR LIKING, OR (B) WILL BE TIMELY, SECURE, ACCURATE, FREE FROM ERRORS OR LOSS, OR UNINTERRUPTED, (2) THAT THE SERVICES ARE FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS, OR (3) THAT ANY DEFECTS OR ERRORS WILL BE CORRECTED. SOME FEATURES MAY BE NEW OR EXPERIMENTAL AND MAY NOT HAVE BEEN TESTED IN ANY MANNER.
YOU UNDERSTAND AND AGREE THAT YOUR USE, ACCESS, DOWNLOAD, OR OTHERWISE OBTAINING OF CONTENT, WEBSITE MATERIALS, SOFTWARE, OR DATA, INCLUDING, BUT NOT LIMITED TO, COURSE MATERIALS AND STUDENT SUBMISSIONS, THROUGH THE WEBSITE (INCLUDING THROUGH ANY API'S) IS AT YOUR OWN DISCRETION AND RISK, AND THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR PROPERTY (INCLUDING YOUR COMPUTER SYSTEM) OR LOSS OF DATA THAT RESULTS THEREFROM.
Limitation of Liability
UNDER NO CIRCUMSTANCES, INCLUDING, BUT NOT LIMITED TO, NEGLIGENCE, WILL inventXYZ BE LIABLE FOR ANY SPECIAL, INDIRECT, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, RELIANCE, OR EXEMPLARY DAMAGES (INCLUDING WITHOUT LIMITATION DAMAGES ARISING FROM ANY UNSUCCESSFUL COURT ACTION OR LEGAL DISPUTE) EVEN IF inventXYZ HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES ARISING OUT OF OR RELATING (i) TO THE TERMS; (ii) YOUR PARTICIPATION IN (OR INABILITY TO PARTICIPATE IN) THE SERVICE; OR (iii) ANY OTHER INTERACTIONS WITH inventXYZ OR ANY THIRD-PARTY THROUGH OR IN CONNECTION WITH THE SERVICE. APPLICABLE LAW MAY NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY OR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU. IN SUCH CASES, inventXYZ LIABILITY WILL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.
You agree to indemnify, defend, and hold harmless inventXYZ, its officers, directors, employees, suppliers, partners, and agents from and against any third-party claims, liabilities, demands, losses, damages, or expenses (including reasonable attorney fees) arising from or in any way connected with your participation in the Service. Your indemnification obligation will survive the termination of these Terms and your participation in the Service.
These Terms (including any agreements and policies linked from these Terms) constitute the entire agreement between you and inventXYZ.
Governing Law and Arbitration
These Terms and any claim or dispute arising out of or relating to these Terms or the Services will be governed by the laws of the State of Texas, USA without reference to its choice or conflicts of law principles.
You agree that any dispute arising out of or relating to the Services or these Terms, including, without limitation, any students statutorily created or protected rights, as permitted by applicable state/provincial or federal laws, may be settled by arbitration in Texas, in accordance with the Commercial Rules of the American Arbitration Association, and judgment upon the award rendered by the arbitrator(s) may be entered in any court of competent jurisdiction. Should any part of these Terms be found invalid or not enforceable by a court of law, then the remaining portion shall continue to be valid and in force.
You may not assign or transfer these Terms (or the rights and licenses granted under them).
We may assign these Terms (or the rights and licenses granted under them) to a third-party without restriction.
Nothing in these Terms confers any right, benefit, or remedy on any third-party person or entity.
Waiver and Severability
The failure of inventXYZ to exercise or enforce any right or provision of the Terms shall not constitute a waiver of such right or provision. If any provision of the Terms is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties’ intentions as reflected in the provision and the other provisions of the Terms shall remain in full force and effect.
